About 3 years ago, your then CIO, Mr. Ashim Banerjee, chose to abuse, threaten and cause me great harm while under the influence. I raised this issue in March 2009 through Eric Lawrence Craig, Robert J. Philbin and Kercea Beckwith, and as far as I know, this issue is still open since it has not been resolved. This, in the company TSYS which is supposed to be so many things, especially in terms of corporate good governance.

About 3 years ago, I received an email from Phil Tomlinson's office telling me to be frugal, reduce expenses, and this, because the company TSYS was going through tough times. I then received verbal instructions from Eric Lawrence Craig, apparently on instructions from Philbin and Dave Wood, to actually notch expenses up. Now, three years later, I see how expenses at TSYS/Infonox Pune have been notched up tremendously, but with no real benefit.

About 3 years ago, the legal counsel at TSYS, David Goldwin, did support the racial pressure on me. When I protested, he told me to go ahead with my settlement, or else. Three years later, the company TSYS has still not settled my basic dues, like notice pay, social security (EPFO) and other issues - leave alone any settlement.

About 3 years ago, Eric Lawrence Craig summoned me to London, and literally threatened me with destruction of name and more, if I did not do what he wanted me to do - which was, to send people to the USA on illegal basis to work - on tourist B1/B2 visas. As a pressure point, he showed me a file with the full details of all those who had gone to the US from Infonox, on H1B and B1/B2, and basic lacunae therein. Drawing flaws in documetation is the easiest thing to do - but this is company TSYS, right?

About 3 years ago, I was accused of fiduciary issues, by Bob Robert J. Philbin. And to date, I have still not been provided with details on what these fiduciary issues were. This, too, is company TSYS - are they making this fiduciary issue, and what would these be?

As per the Corporate Good Governance guidelines given to me by Eric Lawrence Craig and as on the TSYS website, I escalated these and other issues to the independent 3rd party as well as to the Board of Directors. I have not received a response as yet.

It is apparent that TSYS, specifically people who were involved, were trying to break me down.

Three years later, dear TSYS, I am not broken. Far from it. Phil Tomlinson, Troy Woods, Dave Woods, et al, you can hold my salary back, my dues, my social service, but I am still here.

And this is now going into further escalation.

A Happy New Year to all of you. I served the company Infonox, and through them TSYS, to the best of my ability. Now, time for me to move up, speak up, and so be it. You can not destroy me. At the most, you can hold a few dollars of mine. But for how long? And more importantly, all of you, are responsible.

Reminds me of what one in numbers Cyle Mims from Total Systems Inc of Columbus Georgia, Phil Tomlinson of Ernst & Young award fame, the same dude who hired his son-in-law, ace shooter somebody somebdy Duffen, probably advised Bhadva Bada Bhai Robert J. Then I came back to India, and a few days later, got a phone call from Eric - we've terminated you. I felt like Tom Cruise, hung up, and swore to get back.

Now, next thing, they accuse me of theft. Of stuff they had in their own possession. This was after David Goldwin started playing the racist "all Asians are cheaters" or something like that tirade. Then followed the pressure tactics, the threats, the phone taps, and more.

One thing TSYS still needs to learn is that they have to learn about PR disasters.

Such are the strange ways of our Indian Government. Was TSYS (Total Systems of Columbus, georgia, involved in this too?

In September 2005 the Government of India announced by a gazzette notification the "Entry of Vessels into Ports Rules, 2005." Amongst other things, it spelt out the provisions for insurance on foreign ships entering India, to cover pollution and wreck removal.

In July 2006, the Ministry of Shipping, TR Baalu presiding, issued another notice putting the above Rule into abeyance till further orders.

A response to an RTI on this subject is awaited. Interim if anybody has any internal information on this, anonymity and confidentialities assured.

About just over 3 years ago, Total Systems aka NYSE = TSS aka Total Acquiring Systems "bought" Infonox in USA and Infonox Software Pvt. Ltd. in India for a combined all cash deal which was between 50 and 75 million dollars, based on how you looked at it.

Now, 3 years later, all that was predicted has come true. Despite warning them, all they've managed to do in this time, is zilch. NADA.

What a sad story my friends. And on top of that, the SEBI and FBI have something to say about this?

Boycott UID/Aadhaar Number

This is to appeal to you and to draw your most urgent attention towards the world's biggest database project unfolding through Unique Identification (UID)/Aadhaar Number in India without legislative approval since January 2009. It is about a 12-digit identification number which is linked to the National Population Register (NPR), Census and National Intelligence Grid (NATGRID) under Home Ministry among other initiatives.

Montek Singh Ahluwalia and P. Chidambaram have recommended the cut in the budget of Unique Identification Authority of India (UIDAI) because of “unnecessary spending” by it. UIDAI operates under the same Planning Commission that has filed an affidavit in the Supreme Court in the PUCL vs Union of India & Others wherein it has said that any citizen who spends more than Rs 965 per month in urban India (around Rs.32 per day) and Rs 781 in rural India (around Rs.26 per day) “at June 2011 price level” would be considered not to be poor. It is the same agency that claims that UID scheme is for providing social services to the poor.

The UIDA had asked for Rs 3,500 cr for 2012-13, but the Planning Commission has recommended a figure of Rs 1,400 cr. UIDA was given Rs 3,000 cr for fiscal 2011-2012. The proposal has been forwarded to the Ministry of Finance for final approval.

The Ministry of Home Affairs wants to curb UID/Aadhaar Number’s scope to promote its own National Population Register (NPR), which is tasked to collect information about Indian citizens in a similar manner. At present both UIDAI under Nandan Manohar Nilekani and NPR under C Chandramouli, the Census Commissioner are collecting demographic details along with biometric data. In a classic case of pretending ignorance the Ministry of Home Affairs has questioned the legality of UIDAI. "Until the NIAI Bill 2010, is passed by parliament the UIDA does not become an authority, and should not be allowed to function so independently". The fact is Union Home Minister is a member of the Cabinet Committee on UID Authority and related matters and he was also the member of the Empowered Group of Ministers that decided both the initiative of NPR and UID. Revealing the sad state of affairs even without the passage of any legislation from the Parliament, UIDA has issued 1 crore UID/Aadhaar Numbers and plans to issue 60 crore UID/Aadhaar Number by 2014.

This project has been implemented in Pakistan under its Home Ministry. In India, NATGRID Chief Executive Officer, Capt Raghu Raman has proposed intervention of commercial czars and creation of private territorial armies in a a document titled "A Nation of Numb People".
It may be noted that ASSOCHAM, representing 3 lakh companies and KPMG, a Swiss consultancy have underlined the ramifications of UID number in their report titled "Homeland Security in India".. Union Ministry of Home Affairs, Annual Report, 2010 claims NATGRID will be started in 2011 after "approval from the competent authority (Union cabinet)". When Hard News, a news magazine asked Nilekani about the relationship of UID/Aadhaar Number, his response was "No comments".

It may be noted that we already have at least 15 identity proofs including Voter I card. What creates a compelling logic for a 16th identity proof?

Providing bio-metric data like finger prints of ten fingers, iris scan etc for the identification number to public and private institutions is akin to wearing a radio collar. This is an act of subjecting oneself to constant surveillance which in itself is a dehumanizing act. How can students submit themselves to such indignity unthinkingly.

It is quite alarming that the enrollment for it has started where gullible citizens and even chief ministers are queuing up for it not knowing its dangerous implications. Similar identification schemes have been rejected by in China, UK, Phillipines, Australia and USA. Pakistan has been awarded for the successful implementation of identification project. According to World Bank, it is unfolding in 14 developing countries like Nepal, Bangladesh, Uganda.

The National Identification Authority of India (NIAI) Bill, 2010 for UID/Aadhaar Number is pending with the Parliamentary Standing Committee on Finance. We have given testimony to it. Its classic case of putting the cart before the horse wherein the project precedes the legislation. The Bill does not define bio-metric data implying that it could include DNA profiling and voice identification. Section 57 of the Bill reveals that the Indian National Congress led UPA government holds Parliament in contempt. It is also linked to several other proposed legislations and initiatives.

Bio-metric identification based UID/Aadhaar Number for residents of India is essentially a surveillance project which will last for centuries to come. It is an assault on the human rights of present and future citizens of India. It is being bulldozed down our throats at behest of US bio-metric technology companies which manifestly work with intelligence agencies. This will neutralize political resistance in India to a huge extent. It will ensure profiling of minorities of all ilk for good.

The entire data base of UID/Aadhaar Number will be stored in a Central Identities Data Repository (CIDR) which will be handed over to US based security, intelligence and bio-metric technology companies like Accenture Services Pvt Ltd and L1 Identities Solution Pvt Ltd as per a contract awarded to them on July 30, 2010. It is germane to recollect that Wikileaks' latest disclosure reveals that former Egyptian President, Hosni Mubarak had transferred the identity database of Egyptians to US Federal Bureau of Investigation. Is it not relevant to this so called e-governance initiative of UPA Government?.

I also wish to draw your considered attention towards the manifesto titled “2083: A European Declaration of Independence” brought out by Norwegian gunman and neo-Crusader, Anders Behring Breivik who carried out the heinous attacks on his fellow citizens. This 1500 page manifesto refers to the word “identity” over 100 times, “unique” over 40 times and “identification” over 10 times. There is reference to “state-issued identity cards”, “converts’ identity cards”, “identification card”, “fingerprints”, “DNA” etc. The words in this manifesto give a sense of deja vu.

In a significant development following rigorous deliberations, an Indian development support organization founded in 1960, Indo-Global Social Service Society (IGSSS) has disassociated itself from UID Number project which was being undertaken under Mission Convergence in Delhi. Withdrawal of IGSSS that works in 21 states of the country across four core areas India: Sustainable Livelihood, Youth Development, Disaster Risk Reduction, and Urban Poverty merits the attention of all the states and civil society organisations especially those who are unwittingly involved in the UID Number enrollment process.

In its withdrawal letter IGSSS said, “we will not be able to continue to do UID enrolment, as we discussed in the meeting of 10th May 2011.” It added, it is taking step because `it’s hosted under the rubric of UNDP’s “Innovation Support for Social Protection: Institutionalizing Conditional Cash Transfers“ [Award ID: 00049804, Project: 00061073; Confer: Output 1, Target 1.2 (a) & Output 3 (a), (b)]. In fact we had no clue of this until recently when we searched the web and got this information.’

A Statement of Concern calling for halting of UID Number project was issued in September 2010 by 17 eminent citizens led by Justice V R Krishna Iyer, Prof. Romila Thapar, Late K.G.Kannabiran, Prof. Upendra Baxi, Bezwada Wilson, Late S.R.Sankaran, Prof. Trilochan Sastry, Prof. Jagdeep Chhokar, Justice A.P.Shah among others at a Press Conference in New Delhi but corporate media chose to ignore it.

Let me also request you to forward this message to concerned legislators, lawyers, students, teachers and citizens for their perusal and consideration of this grave issue.

I can share more reference documents to enable the fellow citizens to adopt a resolution or issue a appeal calling for UID/Aadhaar Number boycott within our own states and spheres.

I mean, did you know that TSYS uses B1/B2 visa holders to work in the US?

Oh yes, they did, and would do too, and as early as November 2008. In writing. Variously. Not just at TSYS Acquiring Systems in Tempe Phoenix Arizona, but also the Good Old Boys with their son in laws in Columbus, Georgia.

Following which, in December 2009, while in the US, Eric Lawrence Craig, Robert J Philbin of Loose Change, Dave Wood and others including Safwan Shah and Ashim Banerjee were also most certainly aware.

Despite that, and despite our objections from India, we were instructed in writing to continue as before.

It was only when it became too much and we told Eric Lawrence Craig and Robert Philbin and Dave Wood from London that I was going to escalate matters to the Board of Directors of TSYS as per the Corporate Governance guidelines, that they terminated our services. Even here, only Philbin, Wood and Craig voted, the other directors abstained or did not vote.

Now, SEC and others, including DOJ, are in the loop. And I would suggest that customers as well as competitors of TSYS NYSE TSS / NYSE SNV, be aware and take note.

It so happens that there is a very strong "India Against Corruption" (IAC) movement on in India right now, addressing not just politicians, but also businesses, bankers and buccaneers. As well as other idiots, but no, not you. No? Know!! More.

So, not being defamatory at all, but some questions are best asked.

1) Is it corruption if a listed company buys an unlisted company for an obviously exaggerated price? (Not for a moment suggesting the NYSE TSS TSYS Acquiring Systems acquisition of Infonox on the web, where due diligence was maybe done by Paul Todd, amongst others?)

2) Is it corruption if the Board of the Umrikan subsidiary of a listed company instructs its Indian subsidiaries Managing Director to make excessive payments to an insurance company? (Not for a moment suggesting that Robert J "Bob" Philbin told Eric Lawrence Craig to get this done by Infonox Software Pvt. ltd. in India, involving, amongst others, Donna Weeks, David Chew, Shawn Burnsworth, and others.

3) Is it corruption for the CEOs of a listed Umrikan Company to hire their son-in-laws? (Not for a moment suggesting that Phil Tomlinson, James D. Yancey and Richard W. Ussery hired Mack Paul Daffen, Roderick Cowan Hunter and John Dale Hester as a form of corruption - but how come there are no daughters or daughters-in-law hired, now that could be corruption??)

4) Is it corruption if the CEO of a listed company tries to force his way, because he got hisCIO/CTO to wear a skirt and suck a . . . lolly, and then if not permitted, terminates the employment of another employee? And what should be done if that CEO is then subsequently terminated for reasons not too clear? (Not for a moment suggesting that Robert J Philbin was responsible for anything but Evian water crystal clear!)

5) Is it corruption if the CIO/CTO tries to start a new venture of his own, with some other people knowing about it, and entice employees of his existing employers to join the new venture, with the IPR? (Not for a moment suggesting that Ashim Banerjee now of idMission of Boulder, CO, tried to do exactly that, by hiring a dud GM with complicit knolwedge of Dave Woods, and meanwhile syphoning off the best of the guys from ISPL/Pune. And then, when one reasonable and upright person at Pune tried to prevent this, getting his services terminated? Not for a moment suggesting that on date Ashim Banerjee and Sandeep Gandhi are doing the rounds trying to bring people in . . .)

6) Is it corruption if some senior people in the legal group are brazenly of the opinion that all Asians are scamsters? Or maybe, this is nothing but pornographic racism, of the KKK sort? (Not for a moment suggesting that David Goldwin of TSYS Acquiring supported his team, because, ahem, he felt it?)

7) Is it corruption if the HR team tries to brush under the carpet a complaint pertaining to abuse under the influence of alcohol, because it suits them to save people in their own office? (Not for a moment suggesting that Kercea Beckwith andfriend Eric Lawrence Craig tried to do this.)

8) There is so much more to ask on the "Is TSYS corrupt" show, but suffice for now that all is not well may well be what you should ask yourselves, with your India operations.

Visa Exposed As Massive Credit Card Scam

According to indictments filed in U.S. District Court, Visa posed as a reputable lender, working through banks to peddle a variety of convincing-looking credit cards carefully designed to dupe consumers into spending far more money than they had. The criminal group would then impose a succession of escalating fees on unpaid balances, allegedly bilking some $300 billion from victims in the past year alone.

"This is criminal behavior of the most vile sort," Attorney General Eric Holder said in a press conference following the arrests, estimating that one in three Americans have fallen for the scam since its inception in the 1970s. "By masquerading as a legitimate business, this illicit syndicate was able to prey on helpless citizens for decades, charging unfathomable interest rates on the order of 15, 20, even 30 percent or more. It's staggering. Nobody could afford that."

"The actions of the Visa crime ring amount to nothing less than mass extortion," Holder continued. "Anyone who's holding a Visa card has most likely already been ripped off."

Calling the scam's breadth and sophistication "unparalleled," Holder said the ringleaders of the plot carefully portrayed themselves as top-level financial executives, spent untold sums of victims' money on a luxurious high-rise headquarters in San Francisco, and employed scores of graduates from elite business schools—all as a means to perpetuate an elaborate confidence game.

†Investigators said Visa often targeted vulnerable individuals, such as those with limited financial resources, students, and even the elderly. The group's typical con involved direct solicitation through letters supposedly written by the CEO himself, which often praised the recipients by name and stated that they had been hand-selected for favored treatment.\

"I needed to pay off some medical bills, and this seemed like a good option," said Visa cardholder Eileen Carlson of Phoenix, explaining that her initial skepticism of the offers was worn down by the barrage of official-looking mail she received almost daily from the criminal organization. "But before I knew it, they were demanding at least $900 a month, which I couldn't pay. They knew I didn't have any money to begin with—what did they expect?"

"And they kept after me for years," added Carlson, breaking into tears. "For christsakes, you can't get blood from a stone."

According to the Federal Trade Commission, Visa often employed perverse twists on its standard ruse, luring victims with promises of free gifts, enticing but inscrutable "rewards" programs, or deceptively low interest rates that later ballooned out of control and siphoned away every last penny a person had.

"These crooks manipulated interest rates and charged arbitrary, exorbitant fees on literally anything they could—too much credit card activity, too little activity—it was utterly shameless," said Barbara Pendleton of the FTC, suggesting Visa used deliberately confusing financial language as well as fraudulent threats of litigation to squeeze money from its victims. "Then they sat back and did nothing while the money flowed in from people who actually work for a living."

Added Pendleton: "What's more—and this is truly sickening—they became so confident they could get away with this stuff that they openly conducted national ad campaigns and sponsored charity events. These people are the scum of the earth."

According to former Visa CFO R. Neil Williams, a crime boss turned government informant, the syndicate compiled troves of sensitive personal data on millions of Americans, including home addresses, birth dates, and income levels, and regularly sold this information to third parties or exploited it to draw new victims into the scam.

"Sure, people should have known better than to trust a magical card that allowed them to buy anything they want without any money whatsoever," Williams said. "But at Visa we understood that people will believe anything if they want it bad enough. That was the genius of our whole scheme."

As of press time, lawyers for Visa had proclaimed their clients' innocence, citing the fact that there is still no federal law stopping banks from charging any interest rate they goddamn please.

Infosys employee Jack Palmer says NO to Out of Court Settlement, to take company to court on accusation of circumventing H-1B visa rules

Jack Palmer, the Infosys employee who has accused the company of large scale visa fraud in the US, will not go for an out-of-court settlement, his lawyer Kenneth Mendelsohn said. Mendelsohn said his client wanted the case to go to court and see it to the end after Infosys said last week his claims were false and exaggerated.
In a case that threatens to scald Infosys in the North American market, from where it gets over 60% of its revenues, and intensify the debate on outsourcing in the US,Jack Palmer said the company was circumventing H-1B visa rules by sending low-level and unskilled employees to theUS on B1 visas instead.

H-1B visas, which are needed to send employees to work in the US, have become more expensive and harder to get than B1 visas that are only meant for meeting, conferences and business negotiations. Palmer, who has been working with the company since 2008, further said that Infosys managers in the US were intentionally committing fraud to avoid payingtaxes locally and that the company mistreated him when he filed a complaint as part of the whistleblower policy.

Outsourcing has been an inflammable issue in the US as it continues to struggle with high unemployment. The Indian IT services have often been accused of taking away American jobs to cheaper destinations. This anti-outsourcing sentiment has also resulted in visa norms becoming more stringent in the past few years.

Since the case came to light in February, it has resulted in Infosys getting a subpoena by a grand jury in Texas and drawn the attention of US Senator Charles E Grassley, who presented Palmer's written testimony before a senate sub-committee last week.

Infosys, the country's second-largest IT services provider, has been silent on the matter so far and gave a statement for the first time last week saying that it did not have a practice of sending employees on B1 visas when they were required to go on H-1B visas.

"The commentary submitted by Jay Palmer (via Senator Charles Grassley) to the Senate Judiciary Subcommittee on Immigration, Refugees and Border Security, is full of inaccuracies, exaggerations and falsehoods. Mr Palmer is obviously intent on spreading his falsehoods about Infosys and our business practices as broadly as possible in order to advance his objective of getting as big of a payout as he can from the company," a company spokesperson said in a statement.

Mendelsohn said while his client would have been happy to go for a settlement with the company earlier, he now wants to see the case to the end.
"For about eight months, Palmer tried to point out the violations, Infosys chose not to do anything...we would have been glad to work out a settlement, but now that they are calling him a liar, Palmer will not settle. He wants to go to court to prove that he is right," Mendelsohn said. Infosys has requested that the case should go for arbitration.

Mendelsohn added that he had spoken to several Infosys employees who would be willing testify that Infosys had been misusing visas though they did not want to come out in the open just yet.

Greetings & Jai Hind!! Hari-Om, PBUH, Timshel.

I would like to bring to your notice the following information, which in my opinion is of material importance to Total System Services Inc (NYSE TSS) and needs to be known to all Members of the Board of Directors as well as stakeholders, regulatory authorities, and others interested or impacted therein.

For those not following the news in India, may I suggest a search for "NOIDA" in the news, and then a bit of a review of what exactly that means for TSYS in India. This is all the more important from the point of view that it was I who had brought up the issue of excess expenditures by TSYS in India, as can easily be reconfirmed now by taking a look at expenditures when I was in-charge of ISPL and expenditures for almost the same number of people in the last 2-3 years.

In addition, I had, amongst various other actions, also informed the Board of Directors of TSYS then about what I would call "the NOIDA issue".

In brief, NOIDA has been for years now and still is in the midst of a row with original land owners screaming blue murder on land acquisition scams, a situation that has been building up for years now. This is more than likely to create further problems for anybody doing business or living in NOIDA. There are threats of violence to day to day life, for example, which can not be wished away. Senior personnel will have security guards and fast cars, but what about the other employees, who will be responsible for them?

An article from the very respected premier financial newspaper of India is quoted below:-

Thanks to events, TSYS in India finds itself in the midst of this, and it was totally avoidable. I was certainly a whistle-blower in this matter, and as a result, found my services terminated unfairly - causing me great mental and physical trauma.

More:- TSYS, in India, is in NOIDA. And therein rests a tale of much more than what is brought out.

It relates to TSYS going ahead with heavy investments and expenses (more on some of these "expenses" too, soon . . .) in NOIDA despite my written dissent and objections. While the people in TSYS who I was inter-acting with in 2009-2010 went ahead and submitted that they were in "Delhi", my objections that this was incorrect, that they were in NOIDA, were simply ignored.

The difference is like saying, hello, we are in New York New York when actually the company is in, say, some small back lot in New Jersey. But who was going to listen, it was simpler to sack and terminate the conscience driven objector, and spend a huge sum of money on bringing TSYS into NOIDA.

I even have photos from that time, March 2009, when Mr. Eric Lawrence Craig of TSYS and I went to NOIDA to see what was going on. What we learnt then was put in a report by me, and in brief, it said that:-

# NOIDA was not suitable for this very reason, and it certainly was not "Delhi".

# The property shown was under construction, and we were told that it belonged to a relative/close friend of Mr. Amit Sethi's, and was being done up at the cost of TSYS. I found this very strange because then as is now also, ample properties were available at lower costs in plug and play/ready to use shape.

# Other companies, software companies and more, have quietly relocated to Gurgaon and Rajasthan, because of this very reason as per the report above.

# The land row in NOIDA was causing many companies to consider a due diligence of the overall scenario and I can quote quite a few who quietly took up locations elsewhere.

And now, time to pay the piper, see what is happening in NOIDA?

Some day soon I am going to do the definitive article on the real scene with money laundering in the US. Fine, some aspects of it are overlooked in the wink-wink kind of realities, but does the administration in the US really know whats going on?

Take TSYS (NYSE TSS) for example. They are also part of China Union Pay (CUP) in an almost equal parts venture. So now, whose interests does CUP serve, the Americans, or the Chinese?

The wonderful part about this global money laundering scam is that this is one of the very few industries in the United States that the government does not regulate yet. There has been some slight regulation on the card issuing side, but none on the acquiring (ie. credit card processing or merchant services) side of the business.

And who pays for all this? You do, my darling American public, with all your high charges for anything to do with any sort of banking transactions.

As you may recall, my services were illegally terminated on the 15th of June 2009, allegedly for "fiduciary" reasons. To date, these "fiduciary reasons" have not been spelt out, possibly because those who terminated my services were themselves in the words of one of the people in copy here "drummed out" for assorted reasons. Including, fiduciary, but then, what else is new in a company where the CEO puts his own-son-in-law, named probably in a shoot-out in which 625,000/- dollars were paid out, as an expensive high-end employee of an NYSE listed company - and does not declare it till SOX forces him to do so.

Meanwhile, some information provided to me leads me to believe that TSYS themselves may have been responsible for some amount of tricky accounting practices in the credit card business, more on that soon. In addition, please also tell your employees NOT to behave like private investigatve agencies in India, that role is with the Ministry of Home Affairs, Government of India, and a complaint by me to that effect is already underway.

I write this in the shadow of the terrible events that are taking place in Mumbai right now, with terrorist attacks linked to the hawala industry, of which TSYS is certainly aware as the new owners of Infonox.

1) Please read the media report appended below pertaining to terrorist financing. This is also in context with the efforts being made by Shri Mike Peck, Dy General Legal Counsel of TSYS, who met me in India a few weeks ago, to amongst other things also find out more about the origins of Infonox Software Pvt. Ltd., as well as its principal shareholders and owners in the US. As and when there is a full criminal investigation into this subject, which I shall support and fully participate in, it is likely that TSYS' role in it will be brought out, especially wrt the episode involving acquisition of Infonox on the Web in the US, GCA and other such aspects. All of which I have informed the Board of Directors of TSYS about variously in the past also.

2) It is surprising to note that it appears that this sort of information is now being sought by back-door means by using the services of Mr. Mike Lewis who is seeking this information from old/past and present employees of ISPL (1 100% TSYS company) apparently on behalf of Mr. Peck/TSYS, more than two years after the takeover and acquisition of Infonox by TSYS. It is also surprising to
note that Shri Peck is not asking me directly for this information, despite my offer to him, which he has vehemently declined. Maybe it is because he has, despite instructions, ensured that my salary as well as EPFO/Pension payments have been blocked for over two years now. Or maybe it is because he does not want the truth. Either which way, he very arbitarily terminated the meeting we had in Delhi, and I have not heard from him since.

I once again appeal to the Board of Directors of TSYS Inc., at the address above, to address the issue of the takeover of Infonox by TSYS Acquiring Systems, and the deeper issues therein. My co-peration as a loyal employee, currently not being paid, assured.

Hawala money in India linked to terrorist financing: United States
Washington : Report states "that hawala operators are often protected
by politicians and corrupt officials".
Cautioning that the 'hawala' money in India is directly linked to
terrorist financing, the US has suggested to New Delhi to strengthen
its anti money laundering a...nd counter terrorism-finance
legislations.
"Given the number of terrorist attacks in India and the fact that in
India hawala is directly linked to terrorist financing, India should
prioritise cooperation with international initiatives that provide
increased transparency in alternative remittance systems," said the
report in its section on India related to money laundering.
The report, released by Assistant US Secretary of State for
International Narcotics and Law Enforcement Affairs, David T Johnson,
quoted RBI estimates that remittances to India sent through legal,
formal channels in 2007-2008 amounted to USD 42.6 billion.
According to Indian observers, the report said funds transferred
through the billion dollar hawala market are equal to between 30 to 40
per cent of the formal market.
"In that case the hawala market could amount to between USD 13 billion
to USD 17 billion," the report on International Narcotics Control
Strategy, said.
"However, large portions of illegal proceeds are often laundered
through hawala or 'hundi' networks or other informal money transfer
systems," the report noted.
Pointing out that the Indian government neither regulates hawala
dealers nor requires them to register with the government, the report
cited Indian analysts as suggesting "that hawala operators are often
protected by politicians and corrupt officials".

Am about to send a formal letter to the Board of Directors at TSYS (NYSE TSS) in Columbus, Georgia - as well as to the Board of Directors of TSTS Acquiring Systems in Phoenix, Arizona (Chandler).

Subject matter is mainly about certain correspondence pertaining to the issue of bugging my telephones, transcripts therein AND surveillance on me. This may be linked to the report on the fraud at the same EPFO offices where ISPL has its accounts - the one's referred to before.

The Right to Information Act of India 2005 is really wonderful, especially when applied to stuff like this. Even private agencies which used techniques which were against the law can be brought into it, as well as their client lists, which in this case may just include our friends from . . . Misuse of US visas may be widespread

Time was when anti-outsourcing rhetoric targeting India’s $60 billion (Rs.2.7 trillion) software services export business was largely restricted to concerns that low-cost workers from India were displacing Americans. Then Jack Palmer happened.

In February, Palmer, a US-based consultant for Infosys Ltd, filed a lawsuit in an Alabama court alleging that the firm was sending Indian employees to the US to work on projects on short-term non-employment visas (B-1). Palmer alleged that Infosys was doing this to circumvent increased restrictions around work visas, especially the H-1B category. In May, the company was served a federal grand jury subpoena requesting that it submit all documents and correspondence related to its use of B-1 visas. Infosys is cooperating with the investigation. Since then, at least one other Infosys employee has submitted documents to Infosys’ internal whistleblower email ID regarding other instances of Indian employees “working” on B1 visas, according to internal emails obtained by Mint. Infosys declined to comment on the Palmer case and the whistleblower mails.
The Palmer case, and a subsequent department of justice investigation, have highlighted the use of questionable strategies by IT firms to circumvent an increasingly conservative visa regime that restricts work visas in the US. In both instances, Nasscom, India’s software lobby group, said the issue was “being blown out of proportion”.
A Mint investigation conducted over the past two months indicates otherwise: that visa misuse may be more widespread and, more importantly, that it is not just Indian firms, but American ones too that are involved.
It’s no secret that the Indian IT industry’s business model hinges on favourable immigration policies in the US, which accounts for two-thirds of the industry’s total export revenue of $60 billion.
A report published on Monday by CLSA Asia-Pacific Markets showed that a firm’s ability to send workers to the US on visas directly affects its profitability. The report estimates that if a firm sends an Indian employee, its profit margin is 39.1%, while if it hires a local, it is 25.3% (considering that the utilization level is at 75%).
In the “risks” section of their filings with the US Securities and Exchange Commission, Infosys writes: “The vast majority of our employees are Indian nationals. Most of our projects require a portion of the work to be completed at the client’s location. The ability of our technology professionals to work in the US, Europe and in other countries depends on the ability to obtain the necessary visas and work permits.”
“Restrictions on immigration may affect our ability to compete for and provide services to clients in the US, which could hamper our growth and cause our revenue to decline,” it adds.
Indian IT firms have long dominated the applicant pool for H-1B and L-1 visas, the two primary categories that legally permit foreign nationals to work within the US. In 1997, they accounted for 4% of all L visas issued. By 2009, 43% of L visas went to Indians, and most to Indian IT firms, according to a 2010 Economic Policy Institute paper highlighting abuses of the L visa programme by immigration policy analyst Daniel Costa.
However, recent fee hikes (increasing the sponsorship costs of certain H-1B visa types by $2,000, and $2,250 for certain L-1 visas) and the long processing time associated with getting H-1B and L-1 visas approved that have hurt the ability of Indian firms to address urgent demands from clients may have forced them to seek alternatives. Both visa types often take months to process, and firms further complain that the rejection rates for H-1B and L-1 visas has risen considerably in recent years. In a recent interview to Mint, James Herman, minister counsellor for consular affairs at the US embassy in New Delhi, confirmed that the rejection rate for blanket L visas had increased from 3% to 20% over the past two years.
Further, the US immigration framework lacks a visa category to allow firms to send workers to do “gainful” work on urgent, short-term assignments, according to Poorvi Chothani, founder of Mumbai-based corporate immigration law firm LawQuest.
“When visa caps have been met and companies need to send someone urgently, the inability to immediately engage them in the US is a huge impediment,” she said. According to her, in such cases “some companies may have made an ill-advised choice to send workers on business visas”.
Herman added that one of the top consular office’s concerns was a rise in the misuse of business visas, and “making sure we communicate adequately with businesses to make sure they know what they are allowed to do”. He claims the reason most cited by employees of IT firms travelling to the US is “knowledge transfer” (which is permitted under the B1/B2 visas). “We refuse more of those types of cases these days because most of the time they cannot explain to us what that means,” he said. “So, that’s a very common issue—of going for knowledge transfer, when really what they’re doing is going to work on a project.”
Nasscom, which has spent $620,000 since 2006 (according to OpenSecrets.org) lobbying for immigration reforms in the US, has maintained that if fraud exists, it is restricted to small, “fly- by-night” operators.
“It’s a one-off case and should not be blown out of proportion,” said former Nasscom chair Pramod Bhasin referring to the Palmer versus Infosys case. “One or two suits is a part of life. It doesn’t mean that the whole system is decayed.”
Even Infosys’ rivals defend the company. “Big companies have strict corporate government policies. They would just not do it,” said a former top official of a leading IT firm. “There is too much at stake. Companies are very vigilant.”
Kenny Mendelsohn, Jack Palmer’s attorney in the Infosys suit, claims otherwise and said that he received “dozens of emails and calls” after Palmer’s case went public. “It has been overwhelming,” he said. “Based on the information I’ve received from other folks, it appears that other companies are doing it to.”

Ltd, a technology firm working in the area of financial services, now a subsidiary of the New York Stock Exchange-listed Total System Services Inc. (TSYS), said that he lost his job as MD when he refused to comply with the demands of the parent firm to send workers from India to the US on B1/B2 visas to work.
Malik claimed that the company wanted him to write letters inviting workers to the US for four-five months, but pay them Indian wages. Though he did send “a few” workers to the US to work on B1/B2 visas before Infonox was acquired, Malik said he wanted to stop after the merger with TSYS in 2008. “When I was a small little company, there were a different set of risk-taking abilities. Now suddenly I was the managing director of the subsidiary of a listed company in the US; it changed everything,” he added.
In an open letter to US senator Chuck Grassley to draw attention to malpractices by the US firm, Malik noted that TSYS “tried to get me to align with this and force me into continuing, and on my refusing, terminated my services in June 2009”.
One of the former directors of TSYS, Raj Kumar Dubey, who was also terminated by the company, has filed a case in the Delhi high court alleging that his termination was unwarranted. Malik, who is a respondent in the case, said that one of the reasons behind both his and Dubey’s termination was their refusal to send workers on B1/B2 visas.
In an email, TSYS said that it “does not comment on matters of pending litigation”.
Malik approached Mint with his story and shared some information with the paper. Over recent weeks, he has turned uncommunicative, and didn’t confirm his quotes when they were played back to him. Mint has a copy of his letter to Grassley.
Apart from TSYS and Infosys, Mint spoke to several employees (located in India as well as the US) from some of the top Indian and US IT companies. The employees, who did not want to be named, claim their firms do send people to “do work” on business visas in the US in a systematic and wide-scale manner.
One former American employee of a major Indian IT firm claimed that the company she worked for was rotating approximately 250 Indian B-1 visaholders to work full-time on their client’s site—and that the client, a major healthcare provider, was complicit. “I’d go outside for cigarette breaks with them and after a while they started talking,” she said. “I was told that they would be coached on what to say when they went to the American consulate for their interview—that they were coming over here for training; they were coming here to visit relatives; but not to say that they were coming to work.”
Herman admits that there are several cases where the misuse of visas is due to the “confusing” nature of the US immigration law “just like any other immigration law”. However, there are certain cases “where companies don’t like the limitations that they are placed under. Whether it’s an individual or a company, they will try to get around the visa policies. In those cases, fraud is not a victim-less crime, it affects how we look at everybody’s application”, he said.
Herman added that in many cases, chief executives officers (CEOs) and senior executives are often unaware that visa misuse is happening within their own companies; the violations are often due to gaps that exist within companies’ internal regulatory systems, or are based on decisions independently made by mid-level managers without direct approval from above. “There’s a difference between the CEOs saying ‘let’s do this to violate the law’, as opposed to a mid-level manager who’s trying to get work done and saying here’s the best way to get it done without knowing that it’s not appropriate to do that. But, clearly when managers do that, we hold the companies accountable because it’s the company’s system that’s to blame,” he said.
According to Malik, such practices are common. “Is it only large Indian companies? No. Is everyone doing it? Yes. Were small American companies doing it? Small Indian companies doing it? Most certainly and they continue to,” said Malik. “The senators in the US are of the opinion that it is only foreign companies (behind the fraud), it isn’t only foreign companies—everyone is doing it.”

13mar'09: Afternoon-Derogatory remarks about TSYS/Tempe in the course of Town Hall meeting, where he also raised the issue of "rule by danda" and no increments at Tempe/Sunnyvale/Pune. Attitude was swaying.

13mar'09: Evening-company party- demanding and being served hard liquor when party specifically mentioned beer and wine. 6 large whiskies in the course of the evening invoices presented to company, and obnoxious behaviour towards me in public.

14mar'09: Morning meeting at CoCoon in spare room, in the course of which Ashim made some very offensive and threatening statements to me, and said equally offensive things about co-Director RK Dubey, including how he would get him and me fired for getting in his way. Meeting terminated by me. I then made a recap of the meeting, in which amongst other things I clearly stated things including astatus of RKD, to which I received the blackmail response from Safwan. I ignored this for a few days, till I heard grapevine that people at Infonox/Sunnyvale were talking about how this would be the end of Veeresh and Raj in India. This was subsequently reconfirmed much later by Anupam Jeevan, who was then in the US.

16mar'09: Interim, personal message to Safwan:-

a) This is fyi/g.

b) I will take anything from you, including stuff like the whole blackmail and personal relationship thing you wrote about, because I know where you and I are coming from. And you always have a white piece of paper with my signature on it. To a large extent, so will Raj, and that's a fact too. Please be aware that Raj has asked to be relieved from the Director's post, the registered office position as well as standing mandates, and was told by Eric to carry on. So there is some sort of mismatch, and I am in the middle, trying to make the best of a situation.

c) But if Ashim starts trying to take dumps on me, and/or Raj, especially if they are none of his concern or responsibility - then that's not on. Ashim has a loose mouth lately, and it almost sounds as though he is trying to set everybody else up for possible failure, and that's not going to work. His last trip to Pune has been a disaster, and apart from rubbing me and others at Pune up the wrong way, he's also managed to leave Venkat, Pranay and downwards terribly confused.

25mar'09: After great thought, and on not getting any response from Safwan, I sent the following message as part of another message to Eric:- On tones - I am simply not going to accept being abused any more by a tech-lead who does not realise that the smell of alcohol abuse can not be hidden from perspiration the next day in the tropics. (Eric's comment:-Two things: (1) I don't tolerate abuse of employees as well. It is unacceptable. Please keep me informed of any incident/concerns you have and I will address them in an appropriate manner (which may be a discussion with Ashim or with HR, depending upon the nature of the incident). (2) This, as you know, is a serious one. If you have information that you need to discuss with me, then we need to discuss over the phone as soon as possible. Let me know if you want to discuss soon, or wait until we meet again in person (which, I imagine, will be within 30 - 90 days).

25mar'09: I expressed my views to Eric:- ""On the issue of conduct and controlling potential alcohol abuse while on work and/or working trips in India, anytime, and certainly before Ashim's next visit to Pune please. I do not know whether to discuss this with HR or with him, I just know that it needs to be resolved, especially since I don't have any idea on the HR fundamentals at TSYS and how they will impact ISPL.""

26mar'09: Response from Eric, asking me to discuss it with him first, and then "we" would go to HR. Later on I found that this is not as per the TSYS employee manual. VM- as you probably know, HR related issues are very formal and serious in the United States. I, as your manager, have a responsibility to promptly and formally communicate/address to HR any matter that you bring to me. Alchohol related incidents are definetly a serious matter. Accordingly, since we can't meet in person anytime in the immediate future, I need you to be very clear in your communication to me on this issue so that I can address it appropriately. Do you think there was a problem/issue that occured that you would like to discuss with me (or with HR)? Or were you just giving me a "heads up" notification of what you perceived may be a potential problem? Also, do not discuss with him directly. Assuming there is an issue, please discuss it with me first, after which we would go to HR. If, for some reason, you want to discuss with HR directly, let me know.

26mar'09: my response to Eric:-

EC/VM-

I appreciate and thank you for the seriousness with which you take this issue forward. I also write this in the background of the larger issues pertaining to the recent takeover of Infonox by TAS. Fact remains, the ground realities at ISPL are that:-

A) General Scenario:-

1) I don't know about any HR related initiatives at or pertaining to ISPL from IOTW/TAS/TSYS as yet, beyond basic data collection and spreading of company newsletters. TAS still hasn't approached the issues of amending or refreshing the terms and conditions of employment for employees under the new dispensation as yet either. I have been asking for this from before the merger and acquisition. It is much more than hiring a person to "handle HR at Pune" - it needs to start from on top, a proper assessement of what it means for TAS to have acquired through Infonox a 100% wholly owned subsidiary in India known as "ISPL". If there is a due diligence document on this, I would appreciate a copy, please.

2) I still don't know about any HR guidelines towards expected behaviour and norms pertaining to IOTW/TAS/TSYS visitors to ISPL. So far, ISPL had a visit by you, which was fully prepared for and documented. Ashim and Rahul's visits to ISPL were held without any prior agenda or post departure feedback. Venkat's status at ISPL is as you are aware still hazy. Pretty much it seems that every person visiting ISPL makes his or her own road, and amongst other things ISPL is not even aware of whether said visitors carry insurance cover for India, workplace, travel, medical, and others, or not.

3) We do have a specific sensitisation and behaviour as well as risks and liabilities document, as well as health checks, implemented on ISPL employees headed for the US on B1/B2 visa based training trips, which was made by me basis my experience in the US as well as after discussions with friends who were in the HR field in the US and India at that time. I would suggest a reciprocal sensitisation and behaviour/ethics expected document for IOTW/TAS/TSYS employees-consultants heading for ISPL/India , and would wish to be involved. The intention is not just sensitisation but also to keep the company clear on potential liabilities.

4) I shall certainly not be serving any alcohol at company employee-wide events in India in the future, too.

B) Specific with Ashim:-

1) Yes, there was an issue with Ashim, during his last visit, which I would like to discuss with you. It can wait till we meet next or till Ashim comes to ISPL/Pune next.

2) I do wish to approach it, however, in the same way that one approaches an issue with employers pertaining to somebody who is unwell.

The next step in the process is for you to write up what exactly occured, and whether there were any witnesses (they may potentially need to be interviewed about the incident). Once Kercea reviews the writeup, she will determine next steps and she/we will reach out to you to communicate next steps.

10apr'09: I write to Eric, under stress of other events unfolding around me, of rumours about me being fired:- EC/VM:- Thank you, but in view of rethink on my part, I would wish to withdraw from this, and have no complaint to make. I nay have over-reacted to the words and attitude from Ashim, and the solution may be to simply cease serving alcohol at company parties in India.

02may'09: Subsequent to a telcon with Eric, who asks whether I really want to drop charges, in which case I may need to do some more paperwork, I send another message:- EC/VM:- further the below, and on re-considering matters keeping in mind the larger benefits to the company, I feel I may have been emotionally distraught and subtly pressurised into withdrawing this complaint. I would therefore wish to revive the same. Please let me know how to take this up with the head of HR at TSYS.

04may'09: Eric responds: Sure thing Veeresh. I'll find Kercea tomorrow and discuss with her. In addition, you need to write up your complaint/statement, as per the instructions below. That is the first step in the process that she outlined for me when I discussed with her before. I will let her know that a writeup is forethcoming.

Ltd., India, a subsidiary of Infonox on the Web of Santa Clara, CA., which in turn became a subsidiary of m/s Total Systems (NYSE TSS) of Columbus, GA and Phoenix, AZ in 2008. That I have had a blemish free tenure at the company, receiving many awards and messages of commendation.

3) That towards the end of 2008 I raised strong objections with the management of m/s Infonox as well as TSYS in the US about the practice of sending people from India ostensibly for "training" on B1/B2 visas, and then making them work for 3-6 months at a time in the US, including offsite and onsite.

4) That subsequently TSYS tried to get me to align with this and force me into continuing, and on my refusing, terminated my services in June 2009. That I maintain that my dismissal was totally incorrect.

5) That to date another Director of Infonox Software Pvt. Ltd. has a Court Case against Infonox and TSYS in New Delhi, India, which TSYS are not placing on their SEC reportings. That I am also a respondent in this Court Case, and that m/s TSYS have not supported me in this at all, as I was a whistle-blower.

6) That there are other issues, including certain fiduciary irregularities at TSYS pertaining to the acquisition of Infonox, which I raised with TSYS (NYSE TSS). That as a consequence of this also my services were terminated. However, in due course, the specific people who were instrumental in having terminated my services at TSYS had their own services completed, too, viz US citizens: Mr. Robert J Philbin of Phoenix, AZ (ex-CEO) and Mr. Ashim Banerjee of Denver, CO (ex-CIO).

7) That I have raised this issue with the Internal Audit Committee at TSYS (NYSE TSS), the Board of Directors of TSYS (NYSE TSS) repeatedly, and also with the SEC and DoJ. On the contrary, in revenge, m/s TSYS (NYSE TSS) had lodged complaints of theft of company documents against me, which were subsequently proven false and malafide, and that said complaint of false accusation y TSYS against me is still pending with the authorities in New Delhi.

8) That M/s TSYS (NYSE TSS) keep trying to offer me a "settlements" as long as I accept "liability" for what they and their Directors have done. When the issue is simple - TSYS (NYSE TSS) are fully participating in getting Indians across to the US on B1/B2 visas.

9) It is therefore my humble submission that:-

a) The contention that it is only Indian origin companies misusing the B1/B2 visa in India is totally incorrect. There are American companies doing so too.

b) That I also request for assistance from your office as a whistle-blower, since Infonox and TSYS were also involved in the Wachovia bank/Global Cash Access issues currently being reported here:-

The legal stuff, pal, will take its own course. If your company or you try to influence it, believe me, I shall know. If you try to buy out or bribe, or in any way even mildly try to flout the FCPA, then I shall know. And I shall escalate.

That includes trying to make settlements with the authorities, or even those known as friends of authorities, or are in any way positions of authority, which are not recorded or documented. No Sir. Nothing but legitimacy. Please read the FCPA again. Very carefully. And go back and look at every expense done in India. Or pertaining to India. Including one-line bills. Or bills for, shall we say, tapping telephones?

I shall and have escalated everything you try to do that is incorrect to the FCPA and SEC. And to the authorities here in India. And my people who are in your camp will keep me informed. Loyalties are very tribal, as your advisors hopefully will tell you, and there is nothing that happens in Poona/Pune and Delhi/NOIDA that I do not hear about - over 3 other mobile numbers specifically kept for this.

Background:- TSYS Acquiring systems had just taken over Infonox, and we had already been at the receiving end of some of the famed Southern racism, by innuendo and snide ones. However, one day, in the course of some internet security operational issues, this Heather McNay, out of nowhere, launched into an "all Asians are scamsters" kind of tirade, on eMail and also on the internet voice links at office.

When I protested, and actiually even pointed her to some statistics from FBI on where the internet scams actually originated from (only one of the top 10 countries being Asian) she went even more ballistic. So I escalated this to her boss - David Goldwin - he tried to pressurise me on legal threats along with direct threats. I then went up the ladder, to Kercea beckwith, Eric Craig, Andrea Steadman, Dave Wood, Bob Philbin - but all of them tried to brush things under the carpet - bob even tried to offer a "settlement" which I refused. All I want is that Heather McNay and David Goldwin be fired, and that this be put on their record.

Let us see how this proceeds. In any case,since they are such open racists, I will also see how they do biznus in India.

Employees will be the main sufferers as software, BPO firms evaluate their options following the government’s decision to end special status for these companies

Within hours of the finance minister announcing the end of the Software Technology Parks of India (STPI) scheme and the introduction of MAT (minimum alternative tax) for infotech companies even in special economic zones (SEZs), came news through the grapevine that more than a few "infotech companies" and others in the "infotech enabled services" were going to be doing their numbers again and then taking a judgement call on whether to continue or not. As simple as that. Hire and fire becomes loot and scoot. For a business that has been heavily dependent on all sorts of direct and indirect subsidies over the last decade and more, getting used to the idea that business was now going to be done for the sake of the business, was as alien as using slide-rules in engineering anymore.

While this will impact a large number of the vast number of Indian-origin technology companies which seem to be all over the place except in the marketplace, it will also impact even more the breed of companies known as "100% foreign subsidiaries" working on an EoU (export-oriented unit) basis, since in some cases they've been hit with countervailing taxes in their home countries on foreign operations too. Read US companies in India, to start with, as well as a few more.

To make a long story short, what with increased costs for body shopping, tighter visa regulations on "guest workers" who came in on visitor or business visas, and cheaper manpower available in their own countries-it looks as though there will be some rapid pullouts soon. In many cases it is going to be very simple for them because properties were on rent, equipment was on lease and critical senior employees were foreigners, the exit policy having been worked out long ago for just such eventualities.

At the Indian end, it seems as though they just haven't got the enormity of what is staring people in the face. Much of this does not reflect in the fundamentals on the Indian stock market, because the companies are not listed here, but it will impact reality. It is, simply put, probably cheaper and better for these foreign companies to run operations elsewhere now. Especially in their own countries.

This, for example, is what Nasscom had to say on the subject: "28 February 2011, New Delhi: Nasscom today expressed its disappointment on the Union Budget Proposals 2011-12 that chartered a roadmap on sustaining a high growth trajectory for the country, but missed the relevant thrust for business to enable this growth. The services sector was lauded for its double-digit growth rates, but the fastest-growing services industry, IT-BPO, faced double negatives-imposition of MAT on SEZ and withdrawal of tax exemption under Section 10A/10B. The SEZ scheme was announced as an act of Parliament and only last year it was clarified that under the Direct Tax Code (DTC), SEZ units set up till 2014 will continue to get profit-linked tax exemptions. Imposition of MAT at 18.5% with an effective rate of nearly 20%, nullifies the impact of any such incentive. This will be a deterrent for small companies in tier 2/3 cities that were looking at expanding in the SEZ scheme."

But the real impact will most certainly be felt by a generation of coders and developers who have, over the last decade or so, been totally dependent on this thin and fragile line of companies which existed for tax and subsidy benefits. With inefficiencies built in, like 30% on bench, and balance sheets dependant on government largesse-repeating again, the first to suffer will be the employees. What happened to those working in the jute companies in West Bengal, for example, would about sum it up.

So what should people who are likely to be impacted the most, the employees, do?

If you are an employee in a tech company, then you need to read and know this.

1) Trace out and bring forward the resident Indian directors. Addressing and getting letters that are put forward by people who are not fully authorised is like getting random signatures on pieces of paper. Since it is usually very difficult to track down the real beneficial ownership of many of these foreign companies, the only person who can be held responsible would be the resident Indian directors. Make sure you know who they are, and more importantly were-often the real directors will resign and be replaced by others, which simply does not help.

2) Get your appointment letter reviewed by legal people. Get a firm opinion on what it is really worth and then take a considered decision on how you may want to proceed with things. If possible, get your appointment letter re-issued or re-endorsed by the directors of the company. Get hold of as much documentation as you can get from your own file with the personnel or HR department.

3) Track down who pays your salary and how. With company evangelised bank accounts for employees, that is usually not a simple thing to do, because the bank (usually a foreign or private bank) will be loyal more to the company than the employee. Many foreign companies are used to the concept of attaching their employee's bank accounts for the least of things-make sure you move most of your funds into your own unrelated savings account, preferably with a nationalised Indian bank.

4) Consider the option of making a union, or at least a loose association of people, even though this may not really have any worthwhile effect. Expect the foreign employers to divide and rule, to whittle away staff in small numbers every now and then, leaving the rest hanging on like scared lambs waiting for the slaughter. Any signs of unity, therefore, will really make the foreign parent company think again.

5) Get in touch with ex-employees and bring them into the loop. Very often they will have insights as well as risk-taking abilities that existing employees won't. In addition, they will have from-the-outside-looking-in kind of experience, opinions and views that existing employees are often blind to-having escaped the frog-in-the-well tunnel vision kind of attitude that strikes many people who have been staring at the same computer monitor for far too long.

6) Move the specific paperwork on provident fund, pension scheme, and income tax. Demand that this be brought up to date. If required, write directly to the EPFO or the income tax department, on their websites. This is your own money you are talking about. You don't want to be in a position where your savings are stuck at the same time as when your income stops.

7) Encash all pending unused leave, and bring all dues up to date, especially petty cash related, if any. Reduce dependence on company provided perks like housing, vehicle and loan co-guarantees. Get hold of your medical insurance, and take out personal policies on your own for slightly enhanced amounts, so that there is continuity in case the company withdraws.

8) The most important piece of advice, however, is saved for the last. Consider the option of moving out of working for a pure information technology company, and moving into working for the companies that you made technology for, especially if they are in the manufacturing sector. It may not be as glamorous, the working hours may be longer, and the offices not as pretty, but at least they will be solid and stable and they are expected to grow over the next few years as India moves, hopefully, to become a manufacturing base for the rest of the world. And if you are good, believe me, they really need you today.

Let us not mince words. There is a great churn and turbulence expected in the software and technology-enabled (IT and ITES) sectors in India soon. In any case, salaries have not kept up with the reality of inflation, and much of the glamour as well as frills have been withdrawn. However, the upside is that if you have kept your eyes open, then there is a huge big world of real work out there, though it may not be in the middle of a big city like the infotech companies are. Many of the new manufacturing and service-related companies are emerging in cities and towns far away from the metros, go look for them. The air is cleaner and the opportunities vast, as well as the cost of living lower.

Good luck. But whatever you do, move. There is certainly great change in the air with the infotech subsidaries that don't have real roots in India.

So, in short, here's some reasons why "they" went and bought Infonox, these may not be true, there is no intention to defame anybody, all resemblance to anybody living or dead or playing nooky chase at Sea Island is purely coincidental and not inspired by Moore or those other terrible Northeners either, hail Confeds!!

1) Somebody with links to the KKK said go get me one of those silly cones, and here's 75 for it. So off they went, and put 75 million down for a Silicon Valley company.

2) The due diligence was so brilliant that they figured that if GCA and Infonox could do it (play market values of GCA equity) then so could TSYS.

3) Somebody told them that it made a lot of sense to pick up a hundred coders at 75000 dollars each, so they multiplied the number, and paid out the money, thinking they got 100 slaves from Al Hind - now they have to pay them salaries, because the slaves are rising.

4) All Asians are scamsters, as defined by David Goldwin and his group at TAS/TSYS, and so the big bosses decided to go along.

5) Somebody didn't know the difference between China and India, and now the food sometimes looks the same too.

6) Transfer pricing, whatsit, hey, we'll just buy the country. With what?

7) And the best - "we thought we wuz buying the Taj Mahal".

In effect, TSYS made this big announcement about acquiring a Silicon Valley tech company, which did wonders for their market, but not much else - in November 2008. Now, 2 and a half years later, there is a court case for 25 ,million dollars in Santa Clara, CA, there is another Court case in New Delhi, India, the taxation and illegal work aspects of people sent by TSYS on B1B2 visas to work in the USofA are liabilities that loom large on their horizon, key players from Infonox left or were told to leave - and all the products and promises from Infonox are only so much hot air.

More than that, no or close to no progress in India, if anything there was a fake announcement in November 2010 with Visa - about doing business with the Indian Government - which came to naught.

Best part is - I was in the middle of all this, told them so - and they chose to terminate me. Hey, way to go, who cares, it's the stakeholders money, right?

But can you keep fooling them? There's FCPA, there's SEC - and there's, ofcourse, the fact that the RBI does not like racist companies - and TSYS have openly said "All Asians are scamster".

If Asians are scamsters, then wtf are you here in India and China, pointy hats? Or was the criminal conspiracy much bigger, as the investigatives in India are working on to find out - after all, did TSYS India really declare their Cyprus and China connections to the RBI - something that a simple RTI Application reveals may not have been the case??
